These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Subscriber" or "you") and Quantum Signals ("Quantum Signals," "we," "us," or "our") governing your access to and use of the Quantum Signals newsletter, website, and all associated content and services (collectively, the "Service").
By subscribing, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Service and cancel your subscription.
You represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are accessing the Service for lawful purposes only. If you are accessing the Service on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.
Quantum Signals is a paid subscription newsletter providing independent commentary and analysis on the quantum computing sector, authored by a theoretical quantum computer scientist. The Service is published on a weekly basis (approximately four to five issues per month) and may include quarterly sector reports and other supplementary materials at our discretion. Flash alerts on material developments are available exclusively with the Deep Dive tier subscription.
The Service is intended exclusively for sophisticated investors and institutional market participants who possess the financial knowledge, experience, and resources to independently evaluate investment information. The Service is not directed at retail investors who lack such sophistication.
Nothing in the Service constitutes investment advice, a solicitation, or a recommendation to buy, sell, or hold any security, financial instrument, or investment product. All content is published as independent editorial commentary and personal opinion only.
Quantum Signals is not a registered investment adviser, broker-dealer, financial planner, or securities analyst under any applicable law or regulation, including the Investment Advisers Act of 1940, the Securities Exchange Act of 1934, or equivalent laws in any other jurisdiction. No content in the Service should be relied upon as the basis for any investment decision.
You acknowledge that all investment decisions are made solely at your own risk and discretion. You should consult a qualified, registered financial professional before making any investment decision.
All content published by Quantum Signals — including but not limited to newsletter issues, analysis, commentary, research notes, sector reports, flash alerts, graphics, trade names, and the Quantum Signals brand — is the exclusive intellectual property of Quantum Signals and is protected by applicable copyright, trademark, and other intellectual property laws.
Subscribers are granted a limited, non-exclusive, non-transferable, revocable license to access and read the content for personal, non-commercial purposes only. You may not, without our express prior written permission:
Any unauthorized reproduction or distribution of Service content constitutes a material breach of these Terms and may give rise to civil liability and criminal prosecution under applicable law. We actively monitor for unauthorized redistribution and will pursue enforcement.
If you wish to license content for inclusion in a publication, research report, or presentation, contact us in advance.
You are solely responsible for maintaining the security of your subscription credentials and any accounts associated with your access to the Service. You must not share login credentials, forwarded issues, or any other means of Service access with third parties.
You agree that you will not use the Service to:
You agree to notify us promptly upon discovering any unauthorized use of your account or any security breach related to the Service.
Subscriptions to the Service are billed on a monthly recurring basis at the then-current subscription rate. Payment is processed through Stripe. By subscribing, you authorize recurring charges to your payment method on the same day each month.
You may cancel your subscription at any time through the billing portal or by contacting us directly. Upon cancellation, your access will continue until the end of the current paid billing period. No partial refunds are issued for unused portions of a billing period, except as required by applicable law.
We reserve the right to modify subscription pricing at any time, with reasonable notice to existing subscribers prior to the next billing cycle.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Quantum Signals disclaims all warranties, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or reliability of any content.
Quantum Signals does not warrant that the Service will be uninterrupted, error-free, or free of inaccuracies. Market analysis is inherently uncertain. Opinions expressed may change without notice and should not be construed as current at any time after initial publication.
IN NO EVENT SHALL QUANTUM SIGNALS, ITS AUTHORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR RELIANCE ON THE SERVICE, INCLUDING BUT NOT LIMITED TO INVESTMENT LOSSES, LOST PROFITS, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the maximum extent permitted by law, our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total subscription fees you paid to us in the three (3) calendar months preceding the event giving rise to the claim.
By subscribing to the Service, you consent to receive electronic communications from Quantum Signals, including newsletter issues, billing confirmations, and service notices via email. These communications form part of the Service. If you are a Deep Dive subscriber, you will additionally receive flash alerts on material developments. All communications form part of the Service.
You agree that all agreements, notices, disclosures, and communications delivered by electronic means satisfy any legal requirement that such communication be in writing.
The Service may reference, link to, or cite third-party websites, publications, research papers, regulatory filings, or other external resources. Such references are provided solely for informational and analytical purposes.
Quantum Signals does not endorse, control, or assume responsibility for the accuracy, legality, or content of any third-party resource. Access to third-party resources is at your own risk and subject to the terms of those third parties.
Quantum Signals, its founder, contributors, and/or clients may hold long or short positions in the companies discussed in this publication. Such positions may change at any time without notice. The commentary provided does not constitute investment advice, and readers should not assume that any discussion of a company implies a recommendation to buy or sell its securities.
Quantum Signals operates as an independent, editorially autonomous publication with no industry affiliations or advisory relationships with any of the companies covered in the Service. TRL is a measurement framework originally developed by NASA to assess the maturity of technologies along a standardized scale. The use of TRL terminology in Quantum Signals publications is purely editorial and analytical in nature. Quantum Signals is not affiliated with, endorsed by, sanctioned by, or in any way connected to NASA, the U.S. Department of Defense (DoD), or any other government agency or government-sponsored organization.
No government agency or department has reviewed, approved, certified, or otherwise validated any TRL assessment published by Quantum Signals. Our TRL assessments are independent editorial judgments based solely on publicly available scientific literature and disclosed technical data, and should not be construed as official, certified, or government-sanctioned evaluations.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, interpretation, or validity thereof ("Dispute") shall first be submitted to good-faith informal negotiation between the parties for a period of thirty (30) days following written notice of the Dispute.
If the Dispute is not resolved through informal negotiation, it shall be submitted to final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree to resolve any Dispute on an individual basis only. You waive any right to bring or participate in a class action, consolidated action, or representative proceeding. If this class action waiver is found unenforceable, then this arbitration clause shall be void in its entirety.
Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
Quantum Signals reserves the right, at its sole discretion, to modify, suspend, or discontinue all or any portion of the Service at any time, with or without notice, and without liability to you or any third party.
We reserve the right to revise these Terms at any time. Material changes will be communicated to active subscribers via email at least fourteen (14) days prior to the effective date. Your continued use of the Service after such notice constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
We also reserve the right to terminate any subscription at our discretion if a subscriber violates these Terms, with a pro-rata refund of prepaid subscription fees for the unused portion of the current billing period.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Subject to the arbitration provisions above, you consent to the personal jurisdiction of the state and federal courts located in Delaware for the resolution of any Dispute not subject to arbitration.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quantum Signals with respect to the Service and supersede all prior agreements, understandings, or representations.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.
Quantum Signals does not use, receive, solicit, or facilitate the exchange of material non-public information ("MNPI"). MNPI means information that is not publicly available and that a reasonable investor would consider important in making an investment decision — for example, unreleased earnings, pending mergers or acquisitions, undisclosed partnerships, or proprietary technical benchmarks not reflected in public filings.
All analysis published by Quantum Signals is based exclusively on publicly available information, including SEC filings, published academic papers, patents, press releases, conference presentations, and public roadmaps. Subscribers and advisory clients must not share MNPI with Omar Shehab or Quantum Signals during calls, by email, or through any other communication channel.
If MNPI is inadvertently disclosed, Quantum Signals will: (a) immediately terminate the conversation in which the disclosure occurred, (b) document the incident, and (c) not use the information in any analysis or publication. By subscribing to or accessing the Service, you agree not to share MNPI with Quantum Signals.
Advisory call protocol: Advisory sessions are conducted exclusively on the basis of publicly available information. Quantum Signals provides a verbal MNPI disclaimer at the start of each advisory call. A written acknowledgment is included in the booking confirmation email. Subscribers are encouraged to consult their own compliance teams before participating in advisory sessions.
Trading disclosures: Omar Shehab may hold positions in companies covered by Quantum Signals. Any personal holdings will be disclosed in the newsletter when covering those companies. Quantum Signals operates as an independently operated publication with no compensation from covered companies; advisory fees are the sole revenue from client relationships.
